10. Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Website (a “Dispute”) shall be resolved exclusively by final and binding arbitration, rather than in court, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.

The arbitration shall:

Be conducted under the rules of the American Arbitration Association (AAA)
Take place in the State of Delaware, unless otherwise agreed by the parties
Be conducted by a single arbitrator
Be conducted in the English language

The arbitrator shall have authority to award remedies available under applicable law, but may not award relief on a class or representative basis.

Judgement on the arbitration award may be entered in any court having jurisdiction.

11. Class Action Waiver

To the fullest extent permitted by law, you agree that any Dispute must be brought in your individual capacity, and not as a plaintiff or class member in any purported class action, collective action, representative action, or private attorney general proceeding.

You expressly waive any right to participate in:

Class actions
Class-wide arbitrations
Representative proceedings against 4Remote

If this class action waiver is found to be unenforceable, the entire arbitration provision shall be null and void.

12. Opt-Out of Arbitration

You have the right to opt out of the binding arbitration and class action waiver provisions set out above.

To opt out, you must notify 4Remote, Inc. in writing within thirty (30) days of the date you first access or use the Website.

Your opt-out notice must include:

Your full name
Your email address
A clear statement that you wish to opt out of the arbitration and class action waiver provisions

If you timely opt out, disputes between you and 4Remote will be resolved in accordance with Section 12 (Governing Law and Jurisdiction), and you will not be subject to mandatory arbitration or the class action waiver.

Opting out of arbitration will not affect any other provisions of these Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

For disputes not subject to arbitration, the state and federal courts located in Delaware shall have exclusive jurisdiction, and you consent to such venue.
